Priority Technology Holdings has agreed to acquire IntelliPay, a payments software provider built for government agencies, educational institutions and healthcare organizations, creating a new division called Priority Commerce Government to house the public-sector push.

IntelliPay’s platform processes card and ACH payments across online, mobile, in-person and recurring channels while integrating with the financial and business systems governments already run. Priority expects the acquisition to contribute just over $4 million of incremental revenue to its Priority Commerce business for the remainder of 2026, and it extends Priority Commerce’s enterprise payments footprint into public-sector accounts it had not previously served directly.

The deal matters beyond its size because it marks embedded-payments vendors moving deliberately into government and institutional verticals that have historically lagged commercial adoption of modern payment acceptance, verticals with steady, non-discretionary transaction volume and long incumbency once a vendor wins the relationship. “Acquiring high-performing partners in our ecosystem is an important part of our strategy to build out key verticals,” said Tom Priore, CEO of Priority Commerce.

The original insight for embedded-finance operators: public-sector payments have been the slowest-moving corner of the market precisely because switching costs and procurement cycles are longest there, which makes an established platform like IntelliPay worth more as an acquisition than as a greenfield build. “Together, we’ll be able to bring our solutions to more customers while continuing to serve the public sector,” said Casey Leloux, CEO of IntelliPay.

The move echoes a broader pattern of payments platforms buying into adjacent gaps rather than building them, seen recently in Basware’s acquisition of fraud-prevention vendor Trustpair and card issuers racing to own the rails they once rented.
